内容提要：
商业标志是指对商品、服务或营业起到区别与表彰作用的标志。区别功能是商业标志最本质的功能，而商业标志的表彰功能则使商业标志权成为财产法的调整对象。商业标志权的客体就是商业标志本身，是一种符号，其既不具有“智力成果”的属性，也难以用“知识产品”或“知识”去概括；并且商业标志权的客体具有二重性，理解这一点对整个知识产权的研究都具有重要意义。基于商业标志权的共同特征和避免权利冲突的需要，应当制定统一的商业标志法。

Abstract:
Commercial mark is the symbol differentiates and demonstrates the commodity, service or business. The differentiating function is the fundamental function of commercial mark, and the demonstrating function make the right of commercial mark be the regulating object of property law. The object of the right of commercial mark is the commercial mark itself, a kind of symbol, and it neither has the character of “intellectual property”, nor is summarized with “knowledge product” or “knowledge”; the object of the right of commercial mark has duality, so, to well understand this point has great significance for the whole research of intellectual property right. Because of the need of the common character of the right of commercial mark and avoiding the rights conflicts, an uniform commercial mark law shall be enacted.

一、商业标志的语义和特征
本文所称的商业标志是指对商品、服务或营业起到区别与表彰作用的标志。商业标志又被称为营业标记、经营性标记等。在这类标志中，以商标最为典型，影响最大。此外，还包括证明标志

、商号、域名、商业形象标志

、商品特有名称等。这类标志具有共同的特征：第一，符号性。商业标志均以简单的文字、图形等为表现形式，其存在的意义在于作为某种商品、服务或营业的代表符号，而不在于其自身。第二，区别性，即用以区别不同的商品、服务或营业。这是商业标志最本原的特征，也是商业标志区别于其他符号性标志的特征。第三，表彰性。商业标志的符号虽然简单，但经过使用和广告宣传，却可以成为商品、服务或营业等的信息“存储器”，是商誉的载体。第四，价值性。正是由于商业标志的表彰功能，使其具有了超越符号本身的价值。商业标志独立于商品、服务或营业之外的可转让性，正是其价值性的体现。第五，专有性。商业标志并非一般的通用标志，而是为特定主体独占的具有商业价值的标志。
